Terms & Conditions

Specific project details, scopes, deliverables, timelines, and fees will be defined in a separate Statement of Work (SOW), invoice, or Service Agreement.

Any alterations, scope increases, or technical modifications requested during execution will be subject to additional fees and documented via email confirmation or updated SOW.

All fees are structured in Indian Rupees (INR) or US Dollars (USD), based on location and invoice specs:

• Invoicing & Due Dates: Payments are due within 7 days of invoice issue or according to agreed project milestone definitions.
• Late Payments: Late balances are subject to a fee of 1.5% per month, and we reserve the right to pause all active development and campaigns if balances remain unpaid.
• GST & Taxes: Standard Indian GST (18%) or local international transaction taxes are applied to all invoices where statutory regulations demand.

Ownership of intellectual properties developed during an engagement is divided as follows:

• Pre-existing IP: AMITRANA retains sole ownership of templates, software, workflow automation code, libraries, and proprietary SEO frameworks developed prior to or independently of the engagement.
• Client Deliverables: Upon receipt of full and final payment, the Client is granted a non-exclusive, perpetual, royalty-free, worldwide license to utilize the custom code, copy, designs, and content developed specifically for them.

To deliver services effectively, the Client agrees to provide timely access to standard environments (hosting panels, Google Analytics, GBP listings, domain records) and furnish required assets (branding, copy, media assets).

AMITRANA is not liable for project launch delays or drops in SEO performance caused by Client delays in feedback, access restrictions, or third-party credential failures.

To the maximum extent permitted by law, AMITRANA, its directors, employees, and consultants shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or ranking metrics.

Our total aggregate liability for any claims arising out of or related to these terms shall not exceed the total fees paid by the client for the specific services under dispute during the preceding 3-month period.

These Terms and Conditions and any disputes arising out of them shall be governed by, construed, and enforced in accordance with the laws of India.

Any legal actions, suits, or proceedings arising out of this agreement shall be initiated exclusively in the courts located in New Delhi, India.
